Mass Contract Transfer and Negotiation Project
Lighthouse Law assisted a group company of one of South Africa's largest banks in the transfer of material, high value contracts resulting from M&A activity, which included the preparation of approximately 120 contract transfer-related letters and approximately 80 cession and assignment agreements, as well as the preparation, negotiation and finalisation of a number of new agreements with contractors.
Major Technology Contracts Due Diligence and Remediation
As a result of M&A activity, Lighthouse Law was tasked with reviewing 1167 complex, multi-disciplinary and multi-jurisdictional agreements across more than 300 different global vendors to enable an approximately £1 billion deal. The output was to gain insight into the client contract landscape to gauge the flexibility of its software licences and how these might be redistributed across global group entities. We were also tasked with the novation of contracts and resulting negotiations with key software vendors across global group IT.
Major Bank Contract Digitisation Exercise
Lighthouse Law performed a review of key data points of over 2000 documents, and assisted our client, one of SA’s big banks, to enable contract digitisation to their contract management system, clean their legal environment and logically categorise contracts to maintain a lean and easily manageable contract environment.
Financial Institution Re-Negotiation of Key Suppliers
This project involved the procurement and re-negotiation across multiple technology vendors due to the international divestment of a major financial institution. Lighthouse Law assisted our clients in scoping, transitioning and improving their risk and commercials across numerous key suppliers, in essence re-procuring the organisation’s entire technology contract landscape.
Software Licence Audit Assistance and Due Diligence
Lighthouse Law led a large-scale due diligence across software and development suppliers for one of the biggest investment banks in Africa, including associated remediation actions where vulnerabilities were uncovered as well as assisting in software audits.Global Data Protection Amendments
